Article I - Name
 
The name of the organization shall be called the Tennessee Baseball Coaches Association (TBCA).
 
 
 
Article II - Purpose
 
The purpose of this organization shall be :
 
1. To unify all baseball coaches in the State of Tennessee.
2. To instill within the coaches a deeper sense of responsibility in developing, maintaining and conducting the game of baseball. 
3. To create an official line of communication with the Tennessee Secondary School Athletic Association.
4. To honor persons and organizations that have done an extraordinary job of promoting baseball in Tennessee.
5. To make available to baseball players and coaches in Tennessee, special resource materials through publications, clinics, camps, and consultant services.
6. To maintain a strong contact with local and national organizations of coaches of baseball.
7. To assist and cooperate with the Tennessee news media in publicizing the baseball programs in Tennessee.
8. To annually select : a) All-Area and All-State baseball teams; b) a "Coach of the Year"; c) to recognize and honor the coaches of state championship teams; d) to establish and maintain a "Hall of Fame"; and e) to honor any additional award as determined by the Board.
 
 
 
Article III - Membership
 
Section 1 - Types of Membership
 
There shall be five classes of membership. The classes will be 1) Active, 2) Associate, 3) Allied, 4) Honorary, and 5) Business.
 
Section 2 - Active
 
The Active membership will consist of all head and assistant baseball coaches actively engaged in the High School program and employed by the local Board of Education.
 
Section 3 - Associate
 
The Associate membership will consist of persons coaching at other levels of baseball as well as members of the news media throughout the state. Voting privileges are given to associate members.
 
Section 4 - Allied
 
The Allied membership will consist of other persons or organizations who are interested in the game of baseball. No voting privileges are given to allied members.
 
Section 5 - Honorary
The Honorary membership may be conferred to any individual who has made a valuable contribution to the TBCA. Honorary membership may be voted by the Board of Directors as they see fit. No voting privileges accompany this type of membership.
 
Section 6 - Business
 
The Business membership will consist of any firm who wishes to be part of the association. No voting privileges accompany this type of membership.
 
Section 7 - Privileges
 
All members shall have the privilege of attending regular functions of the Association (TBCA) and participating in clinics. Active members only will have the privilege of holding office, voting on any item concerning the TBCA, being selected for honors, awards, etc and conducting business meetings.
 
 
 
Article IV - Dues
 
Section 1 - Setting Amount of Dues
 
Annual membership dues shall be determined by the Board of Directors and approved by the membership by a majority vote. Yearly dues will be payable by the Annual Meeting (Clinic in January). The year will run from January 1 to December 31.
 
Section 2 - Delinquent Dues
 
All active/Associate members who are delinquent in the payment of dues shall revert to allied status for that year and receive only benefits of allied membership.
 
Section 3 - Membership Dues
 
1. Active/Associate membership dues shall be $15.00 annually for each member.
2. Allied memberhip dues shall be $10.00 for each member.
3. Honorary membership shall have no dues.

Article V - Officers
 
Section 1 - Types
 
The officers of this organization shall be a President, two Vice-Presidents, and the Secretary-Treasurer.
 
Section 2 - Terms
 
Terms of the President and Vice Presidents shall be for two years beginning and ending the night prior to the day of the annual meeting of the Tennessee Baseball Coaches Association Clinic. They shall serve with no compen-sation.
 
Section 3 - First Vice-President
 
The First Vice-President will automatically become President following his/her term of office with the approval of the Executive Board.
 
Section 4 - Second Vice-President
 
The Second Vice-President will become the First Vice-President following his term of office with the approval of the Executive Board.
 
Section 5 - Secretary-Treasurer
 
The office of Secretary-Treasurer shall be a dual office and he/she shall be elected for a three year term. He/she may succeed him/herself.
 
Section 6 - Additional Officers
 
Additional officers may be created by the Executive Board as it deems necessary.
 
 
 
Article VI - Nominations and Elections
 
Section 1 - Elgibility for office
 
All elected officers shall be head coaches who hold active membership in the association (TBCA).
 
Section 2 - Nominations
 
The nomination of officers shall be the responsibility of the Executive Board. Nominations shall also be taken from the floor as long as they are made by active members.
 
Section 3 - Method of Voting
 
Election shall be by standing vote or written ballot.
 
Section 4 - Votes needed for election
 
A majority of votes cast shall be necessary for election.
 
Section 5 - Casting a vote
 
There shall be one vote for each member in all elections.
 
Section 6 - Election Day
 
All regular elections shall be held at the annual meeting (TBCA Clinic) as a part of the regular business.
 
Section 7 - Tabulation of votes
 
The Secretary shall prepare the ballot with names submitted by the Executive Board, and he shall be the chairman of the tabulating committee.
 
Section 8 - Committee chairman nomination
 
The President shall appoint such committee chairmen as are essential to sound functioning.
 
Section 9 - Nomination for Secretary-Treasurer 
 
The nomination and election for the office of Secretary-Treasurer shall be from the Executive Board.
 
Section 10 - Regional Representatives
 
Regional Representatives shall be elected to a one year term with no restrictions on the number of consecutive terms. Each regional area shall elect a representative and an alternate from it's own area.
 
 
 
Article VII - Duties of Officers
 
Section 1 - Presidential Duties
 
The President shall preside over all meetings with the authority to call any special meetings which he deems necessary. He shall also be the liason between the TBCA and the TSSAA. Upon completion of his term of office he shall continue to serve as a member of the Executive Board.
 
Section 2 - First Vice-Presidential Duties
 
The First Vice-President shall perform the duties of the President in his absence or inability to act. The First Vice-President shall assist the President in any matters necessary.
 
Section 3 - Second Vice-Presidential Duties
 
The Second Vice-President shall be the liason between the President and the Executive Board.
 
Section 4 - Secretary-Treasurer Duties
 
The Secretary-Treasurer shall be responsible for all money matters concerning the organization, including membership dues, disbursements and shall keep accurate records of all business matters that take place within the organization. He shall work closely with the President. He shall also make detailed financial report to all members at the state meeting.
 
Section 5 - Regional Representative Duties
 
The Regional Representatives shall serve as the direct representative of the members of their regional area. They shall also serve as local directors of the annual membership drive. They shall contact all high school coaches in their area during the drive. They should make an attempt to contact all people interested in becoming a member of the association.
 
 
 
Article VIII - Executive Board
 
Secton 1 - Composition of the Executive Board
 
The four officers, the eight appointed Active members for each area (region) of HS baseball, the Past President, a member of the TSSAA Executive Board, a four year college coach, a junior college coach, and a representative from summer league or youth baseball shall constitute the Executive Board.
 
Section 2 - Duties
 
The Executive Board shall act on all matters pertaining to membership and legislation in accordance with the Constitution and By-Laws.
 
Section 3 - Meetings
 
The Executive Board shall meet either preceding or following the annual meeting or both, if necessary. Special meetings may be called by the President when necessary.
 
Section 4 - Quorum
 
A majority of members present at a meeting of the board shall constitute a quorum for the transaction of business.
 
 
 
Article IX - Meetings
 
Section 1 - Annual Meeting
 
The Tennessee Baseball Coaches Association shall meet one time per year at the Association's Annual State Clinic.
 
Section 2 - Special Meetings
 
The TBCA shall call special meetings as the President deems necessary.
 
 
 
Article X - Amendment
 
Section 1 - Amending the Constitution
 
The constitution shall be amended and recommendations of amendments may be determined by the Executive Board with final passage determined by two-thirds votes of the active members voting. The balloting shall be conducted by mail or at the regular meeting.
